NOTICE OF 2025 ANNUAL GENERAL MEETING 152nd ANNUAL GENERAL MEETING OF THE CLUB

The Annual General Meeting (AGM) of Essendon Football Club ACN 004 286 373 (Club) will be held at the Essendonians Function Centre, The NEC Hangar, 32 Watson Drive, Melbourne Airport, Victoria 3045 on Wednesday 17 December 2025 at 6:30 pm.

BUSINESS

1. Declaration of Election of Directors

2. Reports by President and Chief Executive Officer

3. Receive and Consider the Annual Report and Financial Accounts for the Financial Year Ended 31 October 2025

4. Appointment of Auditor

To consider, and if thought fit, to pass the following resolution as an ordinary resolution:

THAT Grant Thornton Audit Pty Ltd be appointed as the auditor of the Club for the financial year ending 31 October 2026

IMPORTANT INFORMATION

Access to the AGM is restricted to 2025 Eligible (Voting) Members of the Club (as determined under the Club’s Constitution) and their valid proxies

 

VOTING AT THE AGM

Eligible Members may vote at the AGM in one of two ways:

  • by attending the AGM in person; or
  • in advance of the AGM, by appointing a proxy by submitting a proxy form in the manner specified by 6:30 pm (AEDT) on Monday 15 December 2025.

 

PARTICIPATION BY PROXY

Members may participate by appointing a proxy prior to the AGM.

Each 2025 Eligible (Voting) Member (under the Club’s Constitution) is entitled to appoint a proxy to attend and vote at the AGM. A proxy need not be a member of the Club. For an appointment of aproxy for the AGM to be effective, a completed proxy form must be received by the Club by 6:30 pm (AEDT) on Monday 15 December 2025. A proxy form may be lodged by email to secretary@essendonfc.com.au.

MEMBER QUESTIONS

During the AGM

Members will have a reasonable opportunity to ask questions and make comments during the AGM, including an opportunity to ask questions of the Club’s auditor, Grant Thornton Audit Pty Ltd.

Written question before the AGM

Members may also submit written questions in advance of the AGM by email to

agmquestions@essendonfc.com.au. Questions should relate to matters that are relevant to the business of the AGM. Members may also submit written questions to the Club’s auditor, Grant Thornton Audit Pty Ltd, on the content of the auditor’s report or the conduct of its audit for the financial year ended 31 October 2025.

Questions must be received by 5:00pm (AEDT) on Monday 15 December 2025.

The chair of the AGM will not provide written answers to questions, however the chair will address as many of the frequently raised topics as possible during the course of the AGM.
